These Terms & Conditions ("T&C") govern your access to and use of the UnumDAO website ("Site"), the other social media owned by UnumDAO (Twitter, Discord) or application related, linked, or otherwise connected thereto as well as your participation in the UD project with the relative transfer to you, as a reward, of a NFT ("NFT") and the relative the voting rights that can be exercised on-chain through it. Your donation to the UD project and your rewards are, therefore, subject to the following T&C as modified and updated from time to time.
Your continued use of our Site after updated T&C have been posted represents your consent to the updated T&C. We reserve the right to notify you of updated T&C by other means.
Please read carefully our Privacy Policy, which is a part of these T&C.
UD is a fundraising project aimed at acquiring one of the two original copies of the USA Constitution (“Constitution”) through the participation at the December 13th Sotheby's auction. In case of success of the bid, the Constitution will be owned by the UD - no one will own the shares of the Corp. so that you understand and agree that participating in the UD project and/or donating to UD, will not confer to you any fractional ownership of the Constitution nor any shares or stocks of the Corp. Your participation in UD is only for civic and ethical goals.
You will get one voting right for every 0.1 ETH that you will donate. There are 4 tiers:
You may vote according to your own preferences and ideas but, entering into this agreement, you understand and you explicitly agree to, under any circumstance unless where required by law or established by a court order, to vote to sell, to pledge, to barter or to monetize in any possible way the Constitution.
As a reward for your donation, you will receive an NFT for each vote, i.e. an NFT for each 0.1 ETH that you will donate. This will be an ERC721 NFT created in the Ethereum blockchain. The NFT represents your voting right and it will be used for the on-chain voting procedures in the DAO. The voting rights and participation in the UD project are subject to the ownership of a NFT that has been legally given to you as a reward for a donation to the UD project or legally transferred to you by someone to whom the NFT has been transferred as a reward for a donation to the UD project.
The NFT is transferable in the major NFTs platforms as we understand that you may want, at some point, to transfer your participation in the UD project to others. In any case, the UD project is, and has to remain, an ethical project only. Therefore, you explicitly agree to transfer the NFT only as a way to transfer your participation in the project for personal and/or ethical reasons and not to make an investment, speculate or generate any capital gain. Accordingly, if you sell your NFT or monetize it somehow, this is a private business between you and your transferee or buyer - the UD does not encourage nor sponsor any speculation on, or through, the NFT.
You understand that, in some jurisdictions, including the USA, an NFT can be considered, under some circumstances, to be a security, a financial instrument or a financial product. UD and its members, directors, officers, employees and agents are not liable for any claim of any nature whatsoever based on any loss, damage, liability, injury arising from the fact that in some jurisdictions the NFT or the participation in the UD project may be considered to be a security, a financial instruments or a financial product.
If we transfer an NFT as a reward to the UD project you own it.
By acquiring lawful ownership to a NFT transferred to you as a reward of our project we grant you a non-exclusive worldwide license under our copyrights to use, distribute, reproduce, display, perform, modify, and create derivative works of the specific NFT digital file or artwork linked to the NFT for personal and commercial uses, with the right to sublicense such rights through multiple tiers of sublicensee.
All content on our Site is protected by copyright and owned by UD. Unless otherwise specified, you may reproduce the Site content only for your personal use on the condition you do not alter the Site content or remove or alter any copyright, trademark, or other proprietary notices or attribution. If you wish to use any Site content in another manner, please contact us.
UD retains all rights in its name, logos and trademarks (“Trademarks”), whether or not registered. You may not use our Trademarks without our prior written permission and in any manner that is likely to cause confusion about whether we are the source of or sponsor of or endorser of a product, service, or activity. If you wish to use one of our Trademarks, please contact info@unumdao.org” to request permission. All other Trademarks displayed on our Site are the property of their respective owners.

By connecting your wallet to Juicebox and Nucleo you understand that, notwithstanding the best efforts by us and/or Juicebox, Nucleo or other partners, websites and smart contracts may be hacked. Therefore, you confirm and warrant that the wallet that you are using to connect to Juicebox or Nucleo for donating to the UD project does not contain a relevant amount of cryptocurrencies, fungible or any valuable non fungible tokens.
To the maximum extent permitted under law, we disclaim all express and implied warranties of any kind with respect to any loss that you could suffer in connecting your wallet to Juicebor and/or Nucleo for donating to the UD project.
The offer to participate in UD project, the NFT that we transfer as a reward of it and/or our Site are offered “as is” and “as available”. To the maximum extent permitted under law, we disclaim all express and implied warranties of any kind with respect to the UD project, the NFT and the Site. We make no representation or warranties about the accuracy, quality, completeness, timeliness, suitability or reliability of content or information related to the UD project, the NFT and the Site. UD does not warrant that the Site service will be uninterrupted or error free or that any information, software or other material available on or accessible through the Web site is free of viruses, worms, Trojan horses or other harmful components.
We reserve the right to correct or amend any errors, inaccuracies, or defects related to our Site. If you rely on our Site you do that entirely at your own risk.
UD and its members, directors, officers, employees and agents are not liable for any claim of any nature whatsoever based on any loss, damage, liability, injury arising from your participation in the UD project, the transfer to you of the NFT or the use of the Site. In any case, our aggregate liability to you for any direct or other damages of any nature arising out of your use, or inability to use, our Site will not be greater than 1,000 USD.
These Terms, which include the Privacy Policy, are the complete agreement between you and UD regarding your use of our Site and related services and activities and supersede all other prior agreements (oral or written) regarding its subject matter except that you will also be governed by any (A) Supplemental Terms we provide in connection with particular other areas of the Site or features or services; and (B) additional agreements we enter into with respect to specific activities. These Terms are governed by and should be construed according to the laws of the State of Delaware (without regard to conflict of law rules or principles of the State of Delaware, or any other jurisdiction that would cause the application of the laws of any other jurisdiction). If you choose to access our Site from jurisdictions other than the United States, you are responsible for complying with any applicable local laws. These T&C create no joint venture, agency, partnership or similar relationship.
By accessing this Site or donating to the UD project you confirm and guarantee us that you neither are an OFAC SDN (specially designated nationals) nor a person included in any list of international sanctioned individuals or connected to an entity included in any list of international sanctioned entities.
Moreover, you hereby certify that (1) you are not, nor are you owned or controlled by or acting on behalf of, any person, group, entity, or nation that is (i) designated on any sanctions-related list of restricted or blocked persons (including the U.S. Department of the Treasury, Office of Foreign Asset Control's (OFAC) List of Specially Designated Nationals and Blocked Persons) or otherwise the subject of any restrictions under U.S. economic sanctions, anti-terrorism, or anti-money laundering law, or (ii) located, organized, or resident in any country or territory that is itself the subject of any U.S. economic or financial sanctions (currently Cuba, Iran, North Korea, Syria, Crimea, and the so-called Donetsk and Luhansk People's Republics); and (2) you are not facilitating this transaction on behalf of any person, group, entity or nation described in clause (1), nor will the proceeds received be used in any way that violates U.S. economic sanctions, anti-terrorism, or anti-money laundering law.
You agree that to resolve any dispute, controversy, or claim relating in any way to your participation in the UD project, transfer of the NFT and access or use of the Site, you will engage in good-faith efforts to resolve such disputes with UD prior to initiating an arbitration. You must initiate this dispute resolution process by sending a letter describing the nature of your claim and desired resolution to: “info@unumdao.org”. Both parties agree to meet and confer personally, by telephone, or by remote conference service (“Conference”) to discuss the dispute and attempt in good faith to reach a mutually beneficial outcome that avoids the expenses of arbitration or, where applicable, litigation.
Should the dispute resolution fail, you agree to arbitration. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement. To begin an arbitration proceeding after participating in the dispute resolution process, you must send a letter requesting arbitration and describing your claim to UD at the info@unumdao.org. The arbitration will be conducted by JAMS, an established alternative dispute resolution provider. Disputes involving claims and counterclaims under $250,000, not inclusive of attorneys' fees and interest, shall be subject to JAMS's most current version of the Streamlined Arbitration Rules and the JAMS Consumer Minimum Standards then in effect; all other claims shall be subject to JAMS's most current version of the Comprehensive Arbitration Rules and Procedures and the JAMS Consumer Minimum Standards then in effect. If JAMS is not available, there must be an alternative arbitral forum selected by you and us.
The arbitrator shall have exclusive authority to (a) determine the scope and enforceability of this Arbitration Agreement and (b) resolve any dispute related to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement including, but not limited to, any claim that all or any part of this Arbitration Agreement is void or voidable. The arbitration will decide the rights and liabilities, if any, of you and UD. The arbitration proceeding will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the arbitral forum's rules, and these T&C. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and us.
You and UD hereby waive any constitutional and statutory rights to sue in court and have a trial in front of a judge or a jury. All claims and disputes within the scope of this arbitration agreement must be arbitrated on an individual basis, on him or her individual capacity, and not on a representative or collective class basis. Under the arbitration procedures outlined in this section, an arbitrator shall not combine or consolidate more than one party's claims without the written consent of all affected parties to an arbitration proceeding.
